The following are the ButterFat Publishing & Writing Services, Inc. Terms of Terms of Sale. Please read all of these terms before contracting ButterFat Publishing & Writing Services for any writing project. Terms of Sale These terms are applicable to every writing commission/contract/project undertaken. If you are a client, please ensure that you read these terms of sale before commissioning/contracting any work from ButterFat Publishing & Writing Services, Inc. All commissions/contracts/projects are undertaken on the basis of these terms having been read and agreed upon. If you need to discuss any aspect of these terms, please contact ButterFat Publishing & Writing Services, Inc. before ordering any work. 1. Contracts: the client agrees to either send a purchase order or confirmation Email to ButterFat Publishing & Writing Services, Inc. prior to work starting: this purchase order or confirmation shall constitute a contract. The purchase order or Email confirmation should indicate agreement with the Project Agreement form sent by ButterFat Publishing & Writing Services, Inc. and should indicate the project number assigned to the project. 2. Creative brief: if the client chooses not to provide a written, detailed brief for the work to be undertaken but relies instead upon a verbal briefing, the client accepts that any verbal brief by its very nature may contain ambiguities which may be reflected in the resulting creative work. The client accepts responsibility for this ambiguity and for any additional costs incurred in rewriting the copy accordingly. If the client changes the brief after work has commenced, the client will inform ButterFat Publishing & Writing Services, Inc. as soon as possible and adjust the budget to reflect the increased time spent on the job/contract/project. 3. Services provided: ButterFat Publishing & Writing Services, Inc. will provide the client with the concepts and /or copywriting required in a professional manner, by the deadline agreed. ButterFat Publishing & Writing Services, Inc. will also deal with any third parties as requested by the client, in accordance with item # 1) above. 4. Terms of payment: 50% payment for project total is due upon Project Agreement and client Email confirmation of the project. When payment is received by ButterFat Publishing & Writing Services, Inc., the project will start. The final 50% payment for the project total is due upon completion of the first draft copy (Net 15 days of the date of the invoice and first draft copy). When payment is received with Email request for any copy changes by ButterFat Publishing & Writing Services, Inc., work will finish on the project. 5. Late payments: In the event that final payment is not received by ButterFat Publishing & Writing Services, Inc. on the due date, the client will be charged interest at the rate of 2% above the base rate for the first 15 days from the date the payment was due. At 30 days, the client will be charged 10% above the base rate from the date the payment was due. At 45 days, the client will be charged 15% above the base rate from the date the payment was due. At 60 days and any increments of time above 60 days, the client will be charged 25% above the base rate from the date the payment was due. 6. Disclosure: The client shall only commission/contract work with ButterFat Publishing & Writing Services Inc. if they know themselves to be financially secure and not about to enter liquidation, purchase another business, go bankrupt, appoint legal counsel, or otherwise extend themselves financially. 7. Copyright: Copyright means all matters which are the subject of protection under the Copyright Law of the United States of America, June 2003, as may be amended by subsequent legislation and includes all creative work prepared by ButterFat Publishing & Writing Services, Inc. for clients. The copyright and intellectual property rights for any work commissioned by any agency or client will be retained by ButterFat Publishing & Writing Services, Inc., unless specifically requested to be assigned elsewhere for a fee. Further, ButterFat Publishing & Writing Services, Inc. retains the full copyright on and ownership of any technical writing, copywriting, graphics, and desktop publishing materials (Henceforth MATERIALS) on commissions/ contracts/projects that remain unpaid. Any client use of unpaid copywriting MATERIALS, whether electronic, written, verbal, and print is strictly forbidden. 8. Protection of Confidentiality: The client acknowledges and agrees that any identifiable or original idea or concept presented by ButterFat Publishing & Writing Services, Inc. shall be available only for such a promotion or campaign and shall not be used for any other purposes whatsoever without ButterFat Publishing & Writing Services, Inc. express prior agreement given in writing. Even where no promotion or campaign is agreed, the ideas and concepts presented to the client shall remain strictly confidential and shall not be used in any way, including communication to any third party, without ButterFat Publishing & Writing Services, Inc.’s express prior consent. ButterFat Publishing & Writing Services, Inc. acknowledges a duty not to disclose without the client's permission during or after the term of commission/contract/project any confidential information resulting from studies or surveys commissioned and paid for by the client. The client, in turn, acknowledges ButterFat Publishing & Writing Services, Inc.'s right to use as it sees fit any general marketing or advertising intelligence in the field of the client's product or service, which ButterFat Publishing & Writing Services, Inc. has gained in the course of its appointment. Such use is subject to the agreement of the client. 9. Liability: ButterFat Publishing & Writing Services, Inc. will not be liable to the client for any loss of profits, consequential, economic, or indirect loss arising in any way in connection with the performance (or non performance) of the obligations related to any commission/contract/project. 10. Losses: The client will indemnify ButterFat Publishing & Writing Services, Inc. against any loss incurred as a result of civil claims or proceedings brought against ButterFat Publishing & Writing Services, Inc. based upon any advertising and other work prepared for the client and approved by the client before publication. 11. This agreement is subject to the Laws of California, and the US, and the parties agree to submit to the jurisdiction of the courts in respect of any dispute or difference arising under the agreement. |
